DEFINITIONS & INTERPRETATION
For the purposes of these Terms:
- “APIEngine”, “we”, “us”, “our” refers to APIEngine LLP, a limited liability partnership incorporated under the laws of India.
- “Services” means the APIEngine platform, including APIs, data storage, schemas, dashboards, rate limiting, latency simulation, white-label features, and related services.
- “User”, “you” means any individual or entity accessing or using the Services.
- “Account” means a registered user account on the platform.
- “User Data” means any data, content, or information uploaded, stored, processed, or transmitted by the User through the Services.
- “End Users” means third parties who access APIs exposed by the User.
- “White-Label” means use of custom domains, branding removal, or unbranded endpoints.
- “API Keys”, “JWTs” mean authentication credentials issued to Users.
- “Applicable Law” means all laws, rules, and regulations applicable to the User or APIEngine, including Indian law.
Headings are for convenience only and do not affect interpretation.
1. INTELLECTUAL PROPERTY RIGHTS
- Our IP: APIEngine LLP owns all rights, title, and interest in the Services, including the software, algorithms, UI/UX, logos, and documentation. No license is granted to you except the limited right to use the Services as per these Terms.
- Your IP: You retain ownership of the schemas, code, and configurations you specifically create on the platform. By using the Services, you grant APIEngine a worldwide, non-exclusive license to host, store, and transmit this content solely to provide the Services to you. Nothing in these Terms shall be construed as granting APIEngine any ownership rights in your proprietary code, schemas, or configurations, except as necessary to provide the Services.
- Feedback: If you provide suggestions or feedback, we may use them without restriction or compensation to you.
2. ACCEPTANCE OF TERMS
By accessing or using the Services, you agree to be bound by these Terms.
If you do not agree, you must not use the Services.
If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity.
3. PLATFORM POSITIONING & SERVICE NATURE
APIEngine provides a production-capable, enterprise-grade, scalable API infrastructure platform.
Notwithstanding any marketing language describing the Services as “production-ready”, “enterprise-grade”, “high-performance”, or “scalable”, the Services are provided strictly on a best-effort basis.
3.1 No Service Guarantees
APIEngine does not guarantee:
- Continuous availability or uptime
- Any specific latency or response time
- Data durability or persistence
- Error-free operation
- Backward compatibility
All performance references are illustrative only and not contractual commitments. No oral or written information or advice provided by APIEngine shall create any warranty not expressly stated herein.
3.2 No Implied Warranties
The Services are provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, including merchantability, fitness for a particular purpose, or non-infringement.
Use of the Services for mission-critical, regulated, or life-critical systems is entirely at your own risk.
4. ACCOUNT REGISTRATION & SECURITY
You agree to:
- Provide accurate and complete information
- Maintain the confidentiality of API Keys, JWTs, and credentials
- Be fully responsible for all activity conducted through your Account
All actions performed using your credentials are deemed authorized by you.
APIEngine is not liable for unauthorized access resulting from credential compromise, misconfiguration, or user negligence.
You are responsible for promptly rotating compromised credentials.
5. USER DATA & DATA PROTECTION
5.1 Role Clarification
- You are the Data Controller
- APIEngine acts solely as a Data Processor
- APIEngine processes User Data only on your instructions
You are solely responsible for:
- Lawful collection of User Data
- Obtaining all required consents
- Compliance with Applicable Law
APIEngine does not verify legality, consent, or accuracy of User Data.
You represent and warrant that you have all necessary rights, permissions, and lawful authority to upload and process User Data using the Services.
Where the processing of User Data is subject to the GDPR or the Indian DPDP Act, the parties agree to enter into a separate Data Processing Addendum (DPA) upon request.
5.2 Data Retention & Deletion
- Logs may be retained for security, billing, compliance, and abuse prevention
- Backups may persist after deletion requests
- Immediate or complete erasure is not guaranteed
6. WHITE-LABEL, CUSTOM DOMAINS & DOWNSTREAM USAGE
6.1 Ownership
APIEngine retains full ownership of the platform and infrastructure.
White-label access does not transfer ownership or IP rights.
6.2 No Relationship with End Users
End Users of your APIs are not customers of APIEngine.
APIEngine has no contractual or legal relationship with them.
6.3 Downstream Responsibility
You are solely responsible for:
- Publicly exposed APIs
- Representations made to End Users
- Legal compliance toward End Users
6.4 No Resale or Misrepresentation
You may not:
- Represent APIEngine as your own infrastructure
- Resell the platform as a competing service
- Imply ownership of APIEngine technology
APIEngine makes no representations to End Users and disclaims all liability arising from End User reliance on your APIs.
Violation constitutes material breach.
7. ACCEPTABLE USE
7.1: You shall not use the Services to host, display, or transmit any information that:
- belongs to another person without right;
- is defamatory, obscene, or promotes money laundering/gambling;
- infringes any IP rights;
- violates any law for the time being in force; or
- contains software viruses or any other computer code designed to interrupt or limit the functionality of any computer resource.
Use of the Services is subject to the Acceptable Use Policy (AUP), incorporated by reference.
APIEngine may suspend or terminate Accounts for violations without notice or refund.
8. RATE LIMITS, LATENCY & SERVICE MODIFICATIONS
- API calls are metered and subject to plan limits
- Latency may be intentionally introduced
- Features, limits, or APIs may change or be removed
- Backward compatibility is not guaranteed
No SLA applies unless explicitly agreed in writing.
9. FEES, BILLING & TAXES
- Fees are usage-based unless stated otherwise
- Fees are non-refundable once usage begins
- Payments are processed via third-party providers (e.g., Stripe)
- Fees exclude all taxes
- You are responsible for all applicable taxes, duties, or withholdings
10. COMPLIANCE DISCLAIMER
APIEngine is not:
- HIPAA compliant
- PCI-DSS compliant
- RBI or financial-regulation compliant
- Provide legal, regulatory, or compliance advice.
The Services are not intended for regulated data, including healthcare or financial data.
You assume all responsibility for such use.
11. EXPORT CONTROLS & SANCTIONS
You represent that:
- You are not located in a sanctioned or embargoed country
- You are not subject to sanctions or denied-party lists
APIEngine may immediately terminate access to comply with sanctions laws.
12. SUSPENSION, TERMINATION & KILL-SWITCH
APIEngine may, at its sole discretion:
- Suspend or terminate Accounts
- Disable API Keys or JWTs
- Throttle or block traffic
- Delete User Data
- Refuse service
This may occur without notice, reason, or refund.
APIEngine has no obligation to restore data or access after termination.
APIEngine may, at its discretion, but is not obligated to, provide advance notice prior to permanent account termination or data deletion.
Failure to provide such notice shall not constitute a breach of these Terms.
13. FORCE MAJEURE
APIEngine is not liable for failures caused by events beyond reasonable control, including:
- Cloud provider outages
- Internet failures
- Natural disasters
- Government actions
- War, strikes, or pandemics
14. INDEMNIFICATION BY USER
You agree to indemnify and hold harmless APIEngine LLP from any claims, damages, losses, penalties, or legal fees arising from:
- Your use of the Services
- User Data or End User claims
- Legal or regulatory violations
- White-label or downstream usage
APIEngine reserves the right, but not the obligation, to assume exclusive control of the defense of any claim subject to indemnification.
15. DISCLAIMERS
APIEngine disclaims all liability for:
- Data loss
- Downtime
- Business interruption
- Security incidents
- API failures
16. LIMITATION OF LIABILITY
To the maximum extent permitted by law, APIEngine’s total cumulative liability shall not exceed the greater of:
- the total fees paid by you in the thirty (30) days preceding the event giving rise to the claim; or
- INR ₹1,000
This applies regardless of legal theory and even if advised of possible damages.
17. NO THIRD-PARTY BENEFICIARIES
These Terms create no rights for any third party, including End Users.
18. CLASS ACTION WAIVER
You agree that disputes shall be brought only in an individual capacity, not as part of a class or representative action. To the extent permitted by Applicable Law.
19. GOVERNING LAW & DISPUTE RESOLUTION
- Governing Law: India
- Arbitration: Arbitration and Conciliation Act, 1996
- Seat & Venue: Buxar, Bihar, India. 802103
- Courts of [Buxar] have exclusive jurisdiction
20. MODIFICATIONS TO TERMS
APIEngine may modify these Terms at any time.
Continued use constitutes acceptance.
21. ENTIRE AGREEMENT & SEVERABILITY
These Terms constitute the entire agreement between you and APIEngine LLP.
If any provision is held invalid, the remainder shall remain enforceable.
22. GRIEVANCE REDRESSAL
